ORTH Terms and Conditions
These Terms govern the relationship between AYDI TECHNOLOGIES FZCO (the "Service Provider") and the Subscriber for any ORTH products or services.
BY REGISTERING TO USE THE SERVICE, YOU ACKNOWLEDGE AND ACCEPT THESE TERMS AND CONFIRM YOU HAVE AUTHORITY TO ACT ON BEHALF OF ANY PERSON FOR WHOM YOU WILL USE THE SERVICE.
AYDI TECHNOLOGIES FZCO may change these Terms at any time and will make changes effective from the date communicated by email or via the website/app notice.
1. Definitions
Agreement. These terms of use.
Platform. The platform managed by the Service Provider and used to provide the Products and Services to the Subscriber, including the application (web and mobile), database software, AI models, and the computer infrastructure on which these services operate.
ISO Certification. AYDI Technologies FZCO's adherence to International Organization for Standardization standards, demonstrating commitment to quality management, information security, and operational excellence.
Products & Services. All products and services made available through ORTH, including AI-powered agricultural advisory, satellite monitoring, field analytics, and related features, as may be changed or updated from time to time.
Property. A garden, farm or agricultural site that is the subject matter of the ORTH license.
Field. A designated area within a farm used for agricultural production, including gardens, plots, pivots, greenhouses, nurseries, or other agricultural systems.
ORTH or AI Agronomist. The artificial intelligence-powered agricultural advisory system that provides recommendations, insights, predictions, and analysis based on field data, satellite imagery, weather patterns, and best practices.
AI Queries. Interactions or questions posed by the Subscriber or Invited Users to the ORTH AI, generating personalized responses based on agronomic data, models, and Subscriber-provided context.
AI Outputs. Any AI-generated suggestions, insights, predictions, alerts, or advice provided by ORTH regarding agricultural practices and farming decisions.
Access Fee. The fee payable by the Subscriber in accordance with the selected subscription plan.
Data. Any data inputted by the Subscriber or with the Subscriber's authority into the Platform, including field details, crop information, soil data, weather preferences, historical reports, uploads, and chat interactions.
Personal Data. Personal data as defined under any applicable Data Protection Laws.
Intellectual Property Rights. All intellectual property rights worldwide, whether registrable or unregistrable.
Invited Users / Teams. Owners, managers, employees, or others authorized to access the Service under Teams or Enterprise plans.
Subscriber. The person or entity who registers to use the Service.
Business Day. Any weekday other than Friday, Saturday, or a public holiday in the UAE.
Business Hours. 09:00–17:00 Dubai Time on a Business Day.
Data Protection Laws. The EU GDPR, UAE Federal Decree-Law No. 45/2021, and all other applicable privacy laws.
Force Majeure Event. Events outside reasonable control including internet failures, cyber attacks, power failures, industrial disputes, legal changes, disasters, epidemics, fires, floods, riots, terrorism, and wars.
Analytics Tools. Third-party analytics technologies deployed within the Platform to collect usage, interaction, and performance data.
2. License and Access to ORTH
Grant of License. A non-exclusive, non-transferable, revocable license to access and use ORTH for internal agricultural purposes during the subscription term, subject to compliance and payment of Access Fees.
Invited Users. The Subscriber may invite users under Teams/Enterprise plans and remains responsible for their compliance. Access must be revoked for terminated or unauthorized users.
AI Services Disclaimer. ORTH is provided "as is" and relies on AI models that may contain errors. AI Outputs are informational/educational only and do not constitute professional advice. Accuracy, reliability, timeliness, and completeness are not guaranteed; use at your own risk.
Subscriber Responsibility. The Subscriber warrants they have the expertise and judgment to verify and implement actions; they are solely liable for consequences of using ORTH.
License Restrictions. No sub-licensing, resale, or redistribution of the Platform or AI Outputs. No reverse engineering or attempts to discover source code or algorithms. No uploading of false, misleading, or manipulated data. No providing services to third parties without written consent. No disruption or interference with the Platform. No automated access except approved Enterprise APIs.
Service Availability. Target uptime: 99.9% measured monthly (per ISO service level standards). Scheduled maintenance: minimum 24-hour advance notice when possible, outside Business Hours when feasible.
3. Subscriptions and Payments
3.1 Subscription Plans
We offer three subscription products: Orth Free, Orth Plus, and Orth Teams. An Enterprise plan is also available upon request.
- Orth Free (default plan): All new users are automatically registered under the Free Plan at no cost. Includes access to basic features such as limited AI Queries and basic satellite/upload analytics. Users may upgrade to Plus or Teams at any time.
- Orth Plus: A flat-rate recurring fee plan that includes unlimited AI Queries, unlimited fields, and enhanced features.
- Orth Teams: A user-based recurring fee plan, billed per user, that includes unlimited AI Queries, unlimited fields, collaboration features, and advanced analytics.
- Orth Enterprise: Custom pricing and features, including advanced roles and dedicated customer success manager (CSM) support.
Subscriptions are available on a monthly or annual basis. Annual subscriptions may include a discount, as displayed in the product.
3.2 Billing Cycles and Payment Processing
Fees billed in advance on activation date (the "Billing Date") and each subsequent cycle. Auto-charge on each Billing Date via supported methods (cards, Apple Pay, Google Pay, Link, PayPal, Fawry where available). Subscriptions renew automatically unless cancelled per these Terms. Invoices issued sequentially and include applicable taxes; history available in the Stripe customer portal via the Billing tab.
3.3 Apple In-App Purchase (IAP) Terms
If you access Orth through the iOS mobile application, any digital content, subscription, or service purchased within the app is processed via Apple's In-App Purchase (IAP) system, in accordance with Apple's App Store Terms of Service. When a purchase is made using IAP, Apple acts as the merchant of record. Orth does not directly handle or store your payment information for IAP transactions. Subscription renewals, refunds, and cancellations for purchases made through Apple must be managed directly through your Apple ID account settings.
3.4 Failed and Disputed Payments
Stripe Smart Retries up to 8 times over 15 days. Customer must maintain a valid payment method. Invoices unpaid 30+ days after Billing Date may trigger automatic cancellation and revocation of access.
3.5 Customer Communication
Emails for upcoming renewals, expiring payment methods, failed payments, finalized invoices/credit notes.
3.6 Teams and User-Based Billing
Charges based on most recent user count within the billing period (metered billing). Account holder responsible for accurate user counts. Adding users mid-cycle results in prorated charges.
3.7 Cancellations and Refunds
Cancel anytime via the Stripe customer portal (Billing tab). Service remains active until current period ends. All fees non-refundable, including partial periods or unused services.
3.8 Plan Changes and Downgrades
Switch between eligible plans any time. Proration applied on changes. Upgrades/additional seats billed immediately with proration. Downgrades or shorter intervals take effect at period end.
3.9 Price Changes
We may adjust fees with at least 30 days' notice via email.
3.10 Customer Information and Payment Methods
Provide accurate billing details (name, email, address, phone, tax ID if applicable). Payment methods saved securely and can be updated via Stripe-hosted pages or portal.
3.11 Taxes and Rounding
Prices include applicable taxes where required, depending on subscription country.
4. Data and Privacy
Data License. Subscriber grants a non-exclusive license to use Data to provide/improve services, train/enhance models (anonymized), generate aggregated insights/benchmarks, and comply with legal obligations.
Data Ownership. Subscriber retains ownership of raw Data. Service Provider owns processed insights, recommendations, AI-generated content, and derivative works.
Data Security and Standards. Technical and organizational measures per ISO and industry best practices, including encryption in transit/at rest, access controls, regular assessments/audits, and continuous monitoring.
Data Warranties. Subscriber warrants Data accuracy, ownership or license, and non-infringement of third-party rights.
5. Chat Data Storage
Storage and Retention. Chats stored on secure servers to provide continuity and features (search/history). Retention can be toggled off; if disabled, future chats won't be stored.
Use for Improvement. Anonymized/aggregated chat data may be used to improve models and quality.
Privacy Controls. Chats private by default; users may share specific chats. Deleted chats may persist up to 30 days for security/recovery.
Team Accounts. In Teams/Enterprise, individual chats remain private unless viewed per organization policies.
6. Intellectual Property
Ownership. All rights in ORTH (including models, algorithms, design, and generated content — excluding Subscriber Data) belong to the Service Provider.
Restrictions. Subscriber may not copy, modify, create derivative works, or reverse-engineer any part of ORTH.
Feedback. Suggestions/ideas may be used without compensation or attribution.
7. Referral Program
The Service Provider may offer a referral program ("Share & Get $20 Program"). Open to existing users. Referrals must be new to Orth and subscribe to a paid plan. Rewards: $20 per successful referral, credited within 10 business days after the invitee's first paid subscription. No self-referrals, fake accounts, spam, or automated tools. Rewards are non-transferable and have no cash value except as paid out. Program may be modified or terminated anytime; earned rewards remain payable.
8. Limitations of Liability
Disclaimer. ORTH is provided "as is" without warranties (merchantability, fitness, accuracy, non-infringement). No guarantee of uninterrupted or error-free operation.
Limitation. To the maximum extent permitted by law, no indirect/special/consequential or punitive damages; total liability capped at Access Fees paid in the 12 months before the claim.
Indemnity. Subscriber will indemnify and hold harmless the Service Provider from claims arising out of (i) use of Orth, (ii) actions based on AI Outputs, (iii) Terms violations, or (iv) third-party rights infringements.
Third-Party Analytics Tools. The Service Provider is not liable for any data processing, privacy practices, security incidents, or service interruptions attributable to third-party Analytics Tools.
9. Termination
Subscriber Termination. Terminate anytime via the Platform.
Service Provider Termination. Immediate termination for non-payment, material breach, misuse/abuse, or referral program violations.
Effect. Access ceases immediately; data may be deleted after 30 days; no refunds for partial periods; IP, liability, and dispute sections survive.
10. Governing Law and Dispute Resolution
Governing Law. United Arab Emirates law, without conflict of laws principles.
Disputes. Good-faith negotiations for 30 days, then binding DIAC arbitration with one arbitrator; seat DIFC, Dubai; language English. Award final/binding. Injunctive relief for IP/confidential information may be sought in competent courts. Subscriber consents to exclusive DIFC Courts jurisdiction for non-arbitrable matters or enforcement.
11. General Provisions
Entire agreement; supersedes prior agreements. No waiver effective unless in writing and signed by the Service Provider. If any provision is invalid/unenforceable, the remainder stays in force. Force Majeure excuses performance delays (except payment obligations). Service Provider may assign without consent; Subscriber may not assign without written consent.
